1. Agreement to Terms

By accessing or using Pro Listing FBA ("Service", "we", "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not use the Service.

The Service is operated by SAS HA GLOBAL TRADE SOLUTIONS, a company incorporated in France with a share capital of €5,000, registered office at 58 rue de Monceau, 75008 Paris, France.

2. Description of Service

Pro Listing FBA is a SaaS platform that uses artificial intelligence to generate Amazon product listings — including titles, bullet points, and backend keywords — optimized for Amazon's A9 search algorithm. The Service is intended for Amazon sellers and e-commerce professionals.

AI-generated content is provided as-is. Results may vary. Pro Listing FBA does not guarantee any specific sales performance, ranking, or revenue outcome from the use of generated listings.

3. Eligibility & Accounts

You must be at least 18 years old and capable of entering into a binding contract to use the Service. By creating an account, you represent that all information you provide is accurate and current. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

We reserve the right to terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the Service.

4. Subscriptions & Payment

The Service offers a free tier and a paid Pro plan. Subscriptions are billed in advance and processed by Stripe. Current pricing:

• Monthly: $16.99 USD / month
• Annual: $143.88 USD / year ($11.99/month)

All fees are non-refundable except as expressly stated in our Refund Policy. Subscriptions automatically renew until canceled. You may cancel at any time from your account settings — cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Acceptable Use

You agree not to:

• Violate any applicable law, regulation, or Amazon Seller policies
• Reverse engineer, scrape, or exploit the Service's API or infrastructure
• Share, resell, or sublicense your account access
• Attempt to bypass usage limits, rate limits, or access controls
• Use the Service to generate spam, deceptive, or misleading content
• Engage in any activity that disrupts or interferes with the Service

6. Intellectual Property

The Service, including all software, designs, and features, is owned by SAS HA GLOBAL TRADE SOLUTIONS. You retain ownership of the content you input. AI-generated listings produced by the Service are provided for your personal and commercial use — we make no claim over them.

You grant us a limited, non-exclusive license to process your input data solely to provide the Service.

7. Disclaimer of Warranties

Important — please read carefully

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL ACHIEVE ANY PARTICULAR COMMERCIAL RESULT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAS HA GLOBAL TRADE SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

9. Dispute Resolution & Arbitration

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration rather than in court, except that either party may seek injunctive relief in court for intellectual property violations.

Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing hgtsolutions@outlook.fr with "Arbitration Opt-Out" in the subject line.

10. Governing Law

These Terms are governed by the laws of France. For users in the United States, nothing in these Terms limits any rights you may have under applicable federal or state consumer protection laws.

11. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or a notice on the Service at least 15 days in advance. Continued use of the Service after changes take effect constitutes acceptance.
